1. Acceptance of Terms

By creating an account or using ClipPilot (available at app.getclippilot.com), you agree to these Terms and Conditions in full. If you do not agree, please do not use the service.

These terms form a legally binding agreement between you and ClipPilot. We may update these terms from time to time — continued use of the service after updates constitutes acceptance.

2. The Service

ClipPilot is an AI-powered software-as-a-service (SaaS) tool that:

• Downloads publicly available YouTube videos from URLs you provide
• Transcribes audio using AI (OpenAI Whisper)
• Identifies high-engagement moments using AI scoring
• Generates short-form video clips in portrait (9:16) format with animated captions
• Generates AI-written titles and hashtags for each clip
• Optionally posts clips to connected social media accounts

We reserve the right to modify, suspend or discontinue any part of the service at any time with reasonable notice.

3. Acceptable Use

You agree not to use ClipPilot to:

• Process content you do not own or do not have rights to clip and republish
• Generate, distribute or promote illegal, harmful, abusive, defamatory, or sexually explicit content
• Infringe the intellectual property rights of any third party
• Attempt to reverse-engineer, scrape, or circumvent any part of the platform
• Use automated scripts or bots to interact with the service beyond its intended use
• Resell or sublicense access to ClipPilot without our written permission
• Abuse the credits system, create multiple free accounts, or exploit any pricing loophole
• Submit URLs that violate YouTube's Terms of Service

Violation of these rules may result in immediate account suspension without refund.

4. Accounts

• You must provide accurate information when creating an account
• You are responsible for maintaining the security of your password
• One account per person — multiple accounts to circumvent plan limits are prohibited
• You must be at least 16 years old to create an account
• We reserve the right to suspend or terminate accounts that violate these terms

5. Credits and Plans

ClipPilot operates on a credit-based system. Credits are consumed each time you generate clips from a video URL.

• Free plan: 25 one-off credits — no recurring charge
• Starter (£19/month): 200 credits refreshed each billing cycle
• Pro (£39/month): 500 credits refreshed each billing cycle
• Agency (£79/month): 1,200 credits refreshed each billing cycle

Unused credits do not roll over between billing cycles. Credits are non-transferable and have no cash value.

6. Payments, Billing and Refunds

All payments are processed securely by Stripe. By subscribing, you authorise Stripe to charge your payment method on a recurring monthly basis.

• Subscriptions renew automatically on the same date each month
• You can cancel at any time from your account settings — cancellation takes effect at the end of the current billing period
• We do not offer refunds for partial months or unused credits, except where required by law
• If a payment fails, we will attempt to collect it for up to 7 days before suspending your account
• Prices may change with 30 days' written notice to your registered email address

7. Intellectual Property

Your content: You retain all rights to the original videos and clips you generate. ClipPilot does not claim ownership over any content you process through the service.

Our platform: The ClipPilot software, brand, design, code and all associated materials are owned by ClipPilot and protected by copyright and other intellectual property laws. You may not copy, modify or distribute any part of our platform without written permission.

8. Clip Storage and Deletion

Generated clips and source files are stored temporarily according to your plan:

• Free: 3 days
• Starter: 7 days
• Pro: 14 days
• Agency: 30 days

After this period, files are automatically and permanently deleted. Download your clips before the retention period ends. We are not responsible for any loss of content due to automatic deletion.

9. Affiliate Program

If you participate in the ClipPilot affiliate program:

• Commissions are calculated at 25% of the referred customer's payment (excluding VAT)
• Commissions are held for 52 days to account for the refund and chargeback window
• We reserve the right to withhold commissions where fraud or abuse is suspected
• We reserve the right to modify commission rates with 30 days' notice
• Affiliate accounts found to be generating fake referrals will be terminated immediately

10. Disclaimer of Warranties

ClipPilot is provided "as is" and "as available" without any warranty of any kind. We do not guarantee that:

• The service will be uninterrupted, error-free or available at all times
• Clips generated will meet your specific quality or virality expectations
• AI-generated titles or captions will be accurate or suitable for your purposes
• The service will be compatible with all browsers or devices

11. Limitation of Liability

To the maximum extent permitted by law, ClipPilot shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the service, including but not limited to loss of revenue, data, or business opportunity.

Our total liability to you for any claim shall not exceed the total amount you have paid to ClipPilot in the 3 months preceding the claim.

12. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
